Terms of Business

1. Introduction
These terms govern all work carried out by Independent Rural Media ("we", "us", "our") for our clients ("you", "your"). By accepting a quote, paying a deposit, or otherwise instructing us to begin work, you agree to be bound by these terms.
2. Quotes & Estimates
Quotes are valid for 30 days from the date of issue and are based on the information provided at the time of enquiry. Where requirements change or additional information emerges after a quote has been accepted, we may issue a revised estimate before continuing.
3. Project Scope & Changes
The scope of each project is set out in the accompanying proposal or written quote. Any work falling outside the agreed scope ("change requests") will be scoped and quoted separately before being carried out, and may affect the project timeline.
4. Payment Terms
Unless agreed otherwise, projects are invoiced 50% on acceptance and 50% on completion. Invoices are payable within 14 days of issue. Recurring services (hosting, email, support) are billed in advance on a monthly or annual basis. We reserve the right to suspend services where invoices remain unpaid beyond 30 days.
5. Intellectual Property
On full payment of all invoices relating to a project, ownership of the final deliverables (final design files, custom code, content provided by you) passes to you. We retain ownership of any underlying frameworks, libraries, internal tooling and pre-existing components used to deliver the project, and grant you a non-exclusive licence to continue using them as part of the delivered work.
6. Hosting & Third-Party Services
Where we host, manage or configure third-party services on your behalf (such as domain registration, email, cloud hosting or e-commerce platforms), those services are subject to the third party's own terms. We act as your agent and are not liable for outages, pricing changes or policy changes outside our control. We will always notify you of significant changes that affect you.
7. Cancellation
Either party may terminate an engagement in writing. If you cancel a fixed-scope project before completion, you will be invoiced for all work carried out up to the date of cancellation, plus any non-recoverable third-party costs already incurred on your behalf.
8. Liability
We carry out our work with reasonable skill and care. Our total liability under any engagement is limited to the fees paid by you for that engagement in the preceding twelve months. We are not liable for indirect or consequential losses, including loss of profit, revenue or data.
9. Governing Law
These terms are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the English courts.
